Polybrain Terms of ServiceLast updated: May 26, 2025PLEASE READ THESE TERMS OF SERVICE CAREFULLY. By accessing or using the Polybrain website, API, smart contracts, dashboards, or any associated services (collectively, the "Platform") provided by Contributor Town Inc. d/b/a Tenfold ("Tenfold," "we," "our," or "us") you ("Applicant," "you," or "your") agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not access or use the Platform. These Terms govern your participation in the Polybrain Grant Program (the "Program") and constitute a binding legal agreement between you and Tenfold. The Program's purpose is to allocate grants to software projects that advance the Polygon ecosystem through a combination of AI‑generated evaluations and human review.1. Eligibility & Compliance1.1 Entity Status & Sanctions ComplianceYou represent and warrant that you (and any entity you act on behalf of): (a) are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive U.S. sanctions; (b) are not listed on any U.S. or other applicable sanctions‑related list; and (c) will comply with all applicable export‑control, anti‑money‑laundering (AML), and know‑your‑customer (KYC) laws.1.2 Minimum AgeYou must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to participate.1.3 One Account Per TeamEach individual or team may submit only one application per funding round. Sybil resistance checks (e.g., Gitcoin Passport) may be applied at Tenfold's sole discretion.2. Application Submission & Evaluation2.1 Public ApplicationsAll applications are public by default and may be posted to social networks (e.g., Twitter, Farcaster) for transparency and community feedback. Do not submit confidential or proprietary information.2.2 AI ScreeningInitial scoring is generated by proprietary AI models. AI scores are provisional and provided "AS IS" without warranty of any kind. The models may be retrained, updated, or overridden at any time, for any reason, without notice.2.3 Human Review & Final DecisionA panel of human reviewers will validate AI results and may adjust rankings or disqualify applications in their sole discretion. The final funding decision rests solely with Tenfold (or, where applicable, the Polygon Community Treasury Board).2.4 Clarification RequestsTenfold may contact you (including publicly) to request additional information. Failure to respond in a timely fashion may result in disqualification.2.5 No RelianceA provisional score does not create any entitlement to funding. You may not rely on provisional scores in making business or financial decisions.3. Grants & Milestone Funding3.1 Conditional AwardsSelected projects ("Grantees") will receive POL tokens ("Funds") subject to milestone‑based release schedules. Tenfold may pause, reduce, or claw back Funds if milestones are not met, if you breach these Terms, or if required by law.3.2 Independent ContractorsGrantees are not employees, agents, or partners of Tenfold; you assume all tax and regulatory obligations.3.3 Non‑Custodial TransfersGrants are transferred on‑chain directly to the wallet address you provide. You are solely responsible for ensuring the accuracy and security of your wallet credentials and for paying any gas fees.4. Applicant Representations & WarrantiesYou represent, warrant, and covenant that: (a) All information and materials submitted are truthful, accurate, and complete; (b) You have all rights necessary to grant the licenses set forth in Section 5; (c) Your submission and participation will not violate or infringe any third‑party rights or any applicable laws; (d) You will not engage in fraud, vote‑buying, wash trading, sybil attacks, spam, or any other attempt to game the evaluation process.5. Intellectual Property & Licenses5.1 Applicant ContentExcept for the license below, you retain ownership of content you submit ("Applicant Content").5.2 License to TenfoldYou grant Tenfold, Polygon Labs, and their designees a worldwide, perpetual, irrevocable, royalty‑free license to host, use, copy, publicly display, publicly perform, reproduce, modify, create derivative works of, publish, and distribute Applicant Content for (a) evaluating applications, (b) operating and improving the Program and underlying AI models, and (c) marketing and showcasing Program outcomes.5.3 Open Source EncouragementWhile not mandatory, open‑sourcing your project is encouraged. If you choose to release code under an open‑source license, you must comply with its terms.6. Publicity & Use of NameYou grant Tenfold and Polygon Labs the right to use your name, likeness, trademarks, and a description of your project in public announcements, case studies, and marketing materials.7. Prohibited ConductYou may not: • Violate any applicable laws or regulations; • Transmit malware, phishing attempts, or malicious smart contracts; • Attempt to decompile, reverse engineer, or otherwise access Platform source code (except to the extent such restriction is prohibited by law); • Interfere with or disrupt the Platform or servers; • Impersonate any person or entity or misrepresent your affiliation. Tenfold reserves the right to investigate and take appropriate action, including termination or legal action.8. DisclaimersTHE PLATFORM, AI MODELS, SCORES, AND ANY GRANT FUNDING ARE PROVIDED "AS IS" AND "AS AVAILABLE." TENFOLD MAKES NO WARRANTIES (EXPRESS, IMPLIED, OR STATUTORY) INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR ACCURACY. Without limiting the foregoing, Tenfold does not guarantee that the Platform will be error‑free, secure, or available at any particular time.9. Limitation of LiabilityTO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) TENFOLD WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION; (b) TENFOLD'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PROGRAM WILL NOT EXCEED USD $50 OR THE VALUE OF FUNDS ACTUALLY PAID TO YOU, WHICHEVER IS GREATER. Some jurisdictions do not allow certain limitations, so the above may not apply to you in full.10. IndemnificationYou will defend, indemnify, and hold harmless Tenfold, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) your Applicant Content; or (c) your violation of any law or third‑party right.11. Modifications to Terms & ProgramTenfold may modify these Terms, the Program rules, or the evaluation criteria at any time. Material changes will be posted on the Platform or otherwise communicated. Continued participation after changes become effective constitutes acceptance. Tenfold may suspend or terminate the Program at any time without liability.12. Governing Law; Dispute ResolutionThese Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law principles. Mandatory Arbitration & Class‑Action Waiver. Any dispute arising out of or relating to these Terms or the Program will be resolved by binding arbitration under the Rules of the American Arbitration Association in Wilmington, Delaware. YOU AND TENFOLD AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION. Nothing in this Section limits either party's right to seek injunctive or other equitable relief.13. TerminationTenfold may suspend or terminate your access to the Platform or participation in the Program at any time, with or without notice, for conduct Tenfold believes violates these Terms or is otherwise harmful. Upon termination, Sections 5, 8–12, and any other provisions that by their nature should survive will remain in effect.14. MiscellaneousEntire Agreement. These Terms constitute the entire agreement between you and Tenfold regarding the Program and supersede any prior agreements. Severability. If any provision is held invalid, the remaining provisions will remain in full force. No Waiver. Tenfold's failure to enforce any provision is not a waiver. Assignment. You may not assign or transfer these Terms without Tenfold's prior written consent.15.
